Edgee Terms of Use

Welcome to Edgee! These Terms of Use ("Terms") govern your access to and use of the services provided by Edgee Cloud SAS and its affiliates, including Edgee Corporation ("Edgee," "we," "our," or "us"), including our websites, console, CLI, APIs, SDKs, and the Edgee Agent Gateway (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you have entered into a separately negotiated Master Services Agreement ("MSA") and Service Order with Edgee, those documents prevail over these Terms with respect to their subject matter.

1. Eligibility and Acceptance

By using the Services, you represent that:

• You are at least 18 years old.
• You have the authority to bind the legal entity (the "Customer") you represent.
• You agree, on behalf of the Customer, to these Terms and our Privacy Policy.

If you do not agree to these Terms, you must refrain from accessing or using the Services. Continued access or use constitutes binding acceptance of these Terms by you or the entity you represent.

2. Services Overview

Edgee provides an Agent Gateway: an infrastructure layer between coding agents (e.g., Claude Code, Codex, Copilot, OpenCode, Cursor) or Customer applications and LLM Providers (e.g., Anthropic, OpenAI, Google). The Gateway compresses tokens, routes requests across LLM Providers with automatic fallback and rerouting, and meters usage at the developer and team level.

Plans

Edgee offers different service plans with varying features, performance, and support levels:

• Free: For solo developers. Includes connection of your coding agents, token compression, and a personal dashboard (usage, cost, sessions).
• Team: Billed per developer seat per month. Adds a pool of Edgee-provided tokens per seat, Fallback Models, Reroute Models, team observability, spending caps per seat, and GitHub integration.
• Enterprise: For teams with scale, security, or compliance requirements. Adds SSO / SAML, custom data residency, private gateway deployments, custom privacy controls, On Demand Private OSS Models, and dedicated support with custom SLAs. The Enterprise plan is provisioned through a negotiated MSA and Service Order, which prevail over these Terms.

Usage-Based Fees

In addition to plan fees, usage-based fees may apply: tokens provided by Edgee are billed at the LLM Provider's list price plus an Edgee fee (except where covered by an included token pool); traffic sent with your own provider API keys (BYOK) through a coding agent carries no Edgee usage fee; and production (standard API) BYOK traffic with token compression enabled is billed as a share of the cost savings generated. Service fees and usage-based charges are calculated and invoiced automatically via Stripe. Unless otherwise agreed in writing, all paid plans commence on the date the Customer selects and activates the plan through the Edgee console and continue on a recurring basis until canceled. Payment is due upon plan activation or renewal; usage-based fees are billed monthly in arrears.

Edgee reserves the right to enforce usage limits, restrict access to premium features, or adjust service levels based on the selected plan.

Service Levels

Edgee uses commercially reasonable efforts to ensure platform availability and performance for all users. Enhanced service level agreements (SLAs), including uptime commitments and dedicated support, are available only to customers on the Enterprise plan and are defined in the applicable Service Order.

3. Customer Responsibilities

You, as the Customer, are responsible for:

• Ensuring your configuration and use of Edgee complies with applicable laws, including privacy and data protection regulations.
• Managing access to your account and maintaining the confidentiality of your Edgee API keys, login credentials, and any LLM Provider keys (BYOK) you connect to the Gateway.
• The content of the prompts and requests submitted through the Gateway by you, your developers, or your applications, including any personal or sensitive data they may contain.
• Reviewing and complying with the terms of the LLM Providers you route traffic to through the Gateway.

4. Account and Access

You must register for an Edgee account to access the Services. You agree to:

• Provide accurate, complete, and current information.
• Notify Edgee immediately of any unauthorized use of your account.
• Use the Services only for lawful and authorized purposes.

5. Acceptable Use

You agree not to:

• Use the Services to transmit unlawful, abusive, or harmful content.
• Attempt to disrupt or degrade Edgee's infrastructure.
• Reverse engineer or decompile any part of the platform.
• Circumvent any usage limits, seat assignments, or access controls, or use the Services to circumvent the usage policies of an LLM Provider.
• Resell or provide access to the Services to third parties without Edgee's consent.

Edgee reserves the right to suspend or terminate access if you violate these Terms.

6. Data Processing and Privacy

Edgee acts as a data processor when processing personal data on your behalf through the Gateway. Our processing is governed by the Edgee DPA, which is hereby incorporated into these Terms by reference.

By default, Edgee does not store your prompts or LLM completions: they are processed in transit solely to provide the Services. If you enable debug mode (disabled by default), the prompts and completions of the relevant requests are stored for up to thirty (30) days, then automatically deleted. Edgee never uses your prompts, completions, or usage metadata to train or fine-tune any model offered to third parties.

7. Intellectual Property

Edgee retains all rights, title, and interest in the Services, including its platform, token compression technology, SDKs, APIs, software, trademarks, and documentation.

You retain ownership of your configurations, prompts, workflows, and content submitted through the platform ("Customer Content"). You grant Edgee a license to use feedback and suggestions you provide to improve and develop the Services, without identifying you as the source.

8. Modifications to the Terms

We may update these Terms from time to time. Material changes will be communicated via the dashboard or email. You will be asked to accept the updated Terms upon your next login. Continued use of the Services after an update constitutes acceptance.

9. Suspension and Termination

Edgee may suspend or terminate your access to the Services for:

• Violation of these Terms
• Non-payment of undisputed fees
• Legal or regulatory reasons
• Inactivity or account misuse

You may terminate your account at any time via the console. Termination does not relieve you of any payment obligations or restrict Edgee's right to enforce these Terms.

10. Disclaimers and Limitation of Liability

The Services are provided "as is" without warranty of any kind. To the maximum extent permitted by law:

• Edgee disclaims all warranties, express or implied.
• Edgee is not liable for any indirect, incidental, or consequential damages.
• Edgee's total liability under these Terms shall not exceed the amount paid by the Customer in the 12 months preceding the claim.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of France, unless otherwise specified in a Master Service Agreement. Any disputes shall be resolved in the courts of Paris, France.
